The documents drafted and negotiated included a Shareholders Agreement; separate binding policies regulating the ownership, sale and transfer of shares; several Share Purchase Agreements; internal policies to be adopted by the company; a complex share valuation and sale mechanism; and new Articles of Association.

 

Advising on and drafting a number of Loan Facility Agreements between an overseas company and a UK company. Further drafting of Personal Guarantees to support the Loan Facility Agreements. When the loan was not repaid, advising the client on the successful recovery of the loan funds under the Personal Guarantees.

 

Drafting a Joint Venture Agreement between a New York based hedge fund and London based FCA regulated investor for the provision and introduction of investment funds.

 

Advising a client holding a significant number of shares in a company on the impact of modifying or removing anti-dilution provisions in its Subscription Agreement in the context of the issue of a new Shareholders Agreement and investment by third parties.

 

Drafting a number of Non-Disclosure/Confidentiality Agreements for clients in different industries including financial services, commodities and technology.

Issues related to a wide variety of matters including disputing mineral rights in an African country, securing mining rights in an Asian country and protecting intellectual property rights in Australia.

 

Advising an investor in commodities on the UK’s Bribery Act and the US’s Foreign Corrupt Practices Act in relation to their proposed investment in oil and gas concessions in an East African country.
 

Co-hosting and organising a private seminar on intellectual property law at the Law Society for the copyright commission of the Government of an African country. Guest speakers included representatives of Microsoft, Autodesk and the Intellectual Property Office.

Advising overseas client in the manufacturing sector on a breach of contract claim involving issues arising out of International Chamber of Commerce International Commercial Terms (commonly referred to as INCOTERMS), dishonoured cheques and ownership of intellectual property rights in the absence of evidence of a valid assignment.

Advising a client on his appointment as a non-executive director of a Financial Services Authority (FSA) regulated company listed on the Alternative Investment Market (AIM), a sub-market of the London Stock Exchange.
